Introduction ​

Welcome to OnixFeed ("the Service"), a book metadata management platform provided by OnixFeed ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

These Terms constitute a binding agreement between you and OnixFeed. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms ​

By creating an account, accessing our platform, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms comply with the requirements of the South African Electronic Communications and Transactions Act 25 of 2002 (ECT Act) regarding electronic agreements.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service ​

OnixFeed is a software-as-a-service (SaaS) platform that enables publishers, distributors, and booksellers to:

  • Manage book metadata and catalogues
  • Generate ONIX 3.0 compliant XML feeds
  • Import and export data in various formats
  • Integrate with e-commerce platforms
  • Access APIs for third-party integrations

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts and Registration ​

3.1 Account Creation ​

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised use

3.2 Account Security ​

You agree to:

  • Not share your password or permit others to access your account
  • Use a strong password and keep it secure
  • Accept responsibility for all activities under your account

3.3 Role-Based Access ​

The Service provides role-based access with different permission levels (Admin, Publisher, Editor, Author, Reviewer, Stock). You are responsible for assigning appropriate roles to your users and ensuring they understand their responsibilities.

4. Subscription and Payment ​

4.1 Subscription Plans ​

OnixFeed offers various subscription plans. Details of current plans, pricing, and features are available on our website.

4.2 Payment Terms ​

  • Subscription fees are charged in advance (monthly or annually as selected)
  • All prices are quoted in South African Rand (ZAR) unless otherwise specified
  • You authorise us to charge your chosen payment method for the subscription period

4.3 Fee Changes ​

We reserve the right to modify our fees with at least 30 days' notice prior to the end of your current subscription period.

4.4 Cancellation and Refunds ​

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of the current billing period
  • Refunds are handled on a case-by-case basis and at our sole discretion

5. Your Responsibilities and Obligations ​

5.1 Data Accuracy ​

You are responsible for ensuring that:

  • All data you upload to the Service is accurate and complete
  • You have the right to use and distribute the book metadata you provide
  • Your data does not infringe any third-party rights

5.2 Acceptable Use ​

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit spam or unsolicited communications

5.3 ONIX Data Compliance ​

While OnixFeed generates ONIX 3.0 compliant feeds, you remain responsible for:

  • Ensuring your ONIX data meets the requirements of your trading partners
  • Validating that your data complies with relevant industry standards
  • Obtaining any necessary rights or permissions for cover images and content

6. Intellectual Property Rights ​

6.1 Our Intellectual Property ​

The Service, including all software, designs, text, graphics, logos, and their selection and arrangement, is owned by OnixFeed and protected by copyright and other intellectual property laws.

6.2 Your Data ​

You retain ownership of all data you upload to the Service, including:

  • Book metadata and catalogues
  • Cover images and media files
  • Customer and supplier information

You grant us a limited, non-exclusive, royalty-free licence to use your data solely to provide the Service.

6.3 Feedback ​

Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or compensation.

7. Data Protection and Privacy ​

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which complies with the Protection of Personal Information Act 4 of 2013 (POPIA).

8. Service Availability and Support ​

8.1 Service Availability ​

We endeavour to maintain the Service availability 24/7 but do not guarantee uninterrupted access. Scheduled maintenance will be communicated where possible.

8.2 Support ​

Support is provided via email at hello@onixfeed.com. Response times vary based on your subscription plan.

9. Termination ​

9.1 Termination by You ​

You may terminate your account at any time by:

  • Cancelling your subscription through your account settings, or
  • Notifying us in writing at hello@onixfeed.com

9.2 Termination by Us ​

We may suspend or terminate your access if:

  • You breach these Terms
  • You use the Service for fraudulent or illegal activities
  • Your payment is overdue for more than 14 days
  • We discontinue the Service

9.3 Effect of Termination ​

Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your data after a reasonable retention period
  • You remain liable for all fees accrued prior to termination

10. Limitation of Liability ​

10.1 Disclaimer of Warranties ​

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

To the extent permitted by law, we expressly disclaim:

  • Warranties of merchantability and fitness for a particular purpose
  • Warranties of non-infringement
  • Warranties regarding the accuracy, reliability, or availability of the Service

10.2 Limitation of Liability ​

Our total liability to you for all claims arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

In no event shall we be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of data, revenue, profits, or business opportunities
  • Damages arising from data corruption, unauthorised access, or service interruptions

10.3 Consumer Protection Act ​

Where you are a consumer as defined in the Consumer Protection Act 68 of 2008, these limitations may not apply to the extent they are inconsistent with your rights under the CPA.

11. Indemnification ​

You agree to indemnify and hold harmless OnixFeed, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your breach of these Terms
  • Your violation of any third-party rights
  • Any content you upload or distribute through the Service

12. Dispute Resolution ​

12.1 Governing Law ​

These Terms are governed by the laws of the Republic of South Africa.

12.2 Dispute Resolution ​

In the event of a dispute:

  1. We will attempt to resolve the dispute amicably through good-faith negotiations
  2. If unresolved, the dispute may be referred to mediation
  3. If mediation fails, either party may refer the dispute to the appropriate South African court

12.3 Jurisdiction ​

Any legal proceedings shall be instituted in the courts of Cape Town, South Africa.

13. Electronic Communications ​

By using this Service, you consent to receiving electronic communications from us, including:

  • These Terms and any amendments
  • Privacy notices and policy updates
  • Transactional messages and notifications
  • Marketing communications (where you have consented)

This consent satisfies the ECT Act's requirement for electronic agreements and communications.

14. Amendments to These Terms ​

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Sending you an email notification at least 30 days before the changes take effect

Your continued use of the Service after the effective date constitutes acceptance of the amended Terms.

15. Severability ​

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement ​

These Terms constitute the entire agreement between you and OnixFeed regarding the Service and supersede all prior agreements, communications, and understandings.

17. Waiver ​

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
